CONTRACT FOR SERVICES IN DENVER, COLORADO.

WHY A WRITTEN CONTRACT FOR SERVICES IS IMPORTANT.
You always want to have a good, signed contract for services.
Like other agreements, the more specific the contract for services is, the better for everyone. You do not want ambiguities in the contract.
While verbal agreements are just as binding as written agreements, proving a verbal agreement is much more difficult than proving a written agreement. When one party states X and the other party states Y, who is a judge supposed to believe? As a practical and legal matter, when there is a controversy in a lawsuit, the party who has the better “paper trail” usually prevails.
WHAT PARAGRAPHS SHOULD BE IN YOUR CONTRACT FOR SERVICES.
Your contract for services should be very specific, to include the following subjects:
- Names of the parties.
- The date of the contract.
- What services will be performed.
- When the services will be performed.
- Where the services will be performed.
- The compensation for the services.
- When the compensation will be paid.
- If appropriate based upon the type of services, is there a warranty for the services?
- Which state’s law applies to the contract.
- The contract is the entire agreement between the parties. No side deals. If a concept is not in the contract for services, the concept is not enforceable. This protects both parties to the agreement.
- Mediation if appropriate.
- Arbitration for dispute resolution.
- Confidentiality provisions if applicable.
- Prevailing party is awarded attorney fees. This is an important concept because unless a statute or contract allows for attorney fees to a party, each party pays his, her, or its own attorney fees.
- Miscellaneous paragraphs for notices to the parties; the agreement is not construed in favor of either party; no modification unless agreed to in writing; the agreement is binding on successors, assigns, and heirs, and there is no waiver of any provision of the agreement unless the waiver is in writing.
USE OF TEMPLATES.
When I prepare a contract for services for clients, I often prepare a template for my client to use.
The beauty of a template is that for each customer of my client, my client may tailor the contract to the specific situation for that customer.
I include all of the important paragraphs that I mention above, and for each contract, my client completes the template so that my client does not have to pay me attorney fees to help with each contract. Of course, I am available to answer any and all questions if my client has any questions when completing the template.
